Kuala Lumpur, Malaysia, 23 December 2025 – A branding and marketing solutions specialist company, SBS Nexus today unveiled the prospectus for its IPO at EQ Kuala Lumpur. This is in conjunction with the Company’s listing of its entire enlarged issued share capital of 490.0 million ordinary shares on the ACE Market of Bursa Securities, scheduled for 20 January 2026. M & A Securities Sdn Bhd (“M&A Securities”) is SBS Nexus’s Adviser, Sponsor, Underwriter and Placement Agent for the IPO.
SBS Nexus is principally an investment holding company. Through its subsidiaries, SBS Nexus Group is a branding and marketing solutions specialist, principally involved in the provision of offline branding solutions and digital branding solutions.
SBS Nexus’s IPO entails the public offering of 171.50 million ordinary shares comprising a public issue of 122.50 million new shares (“Issue Shares”) and an offer for sale of 49.00 million existing shares (“Offer Shares”) which collectively represent 35.0% of the SBS Nexus Group’s enlarged issued share capital of 490.00 million ordinary shares.
Of the 122.50 million Issue Shares, 24.50 million Issue Shares will be made available for application by the Malaysian public; 17.15 million Issue Shares will be made available for application by the eligible directors, employees and persons who have contributed to the success of SBS Nexus Group; 61.25 million Issue Shares made available by way of private placement to Bumiputera investors approved by the Ministry of Investment, Trade and Industry; and 19.60 million Issue Shares will be allocated for private placement to selected investors. There is also an offer for sale of
49.00 million Offer Shares will be allocated for private placement to selected investors.
Based on the IPO price of RM0.25 per share, the IPO exercise is expected to raise RM30.63 million for SBS Nexus. The public issue of 24.50 million new shares available for application by the Malaysian public, opens today, 23 December 2025 at 10.00 a.m., and application will close on Wednesday, 7 January 2026 at 5.00 p.m.
The IPO proceeds of RM30.63 million will be fully allocated as follows:
• RM7.10 million (23.2%) will be used for the set-up of our new headquarters;
• RM7.25 million (23.7%) will be used for business expansion;
• RM0.74 million (2.4%) will be used for branding, marketing and promotional activities;
• RM6.00 million (19.6%) will be used for repayment of borrowings;
• RM5.04 million (16.4%) will be used for working capital; and
• RM4.50 million (14.7%) will be used for estimated listing expenses.
Based on the enlarged share capital of 490.00 million ordinary shares and IPO price of RM0.25 per share, SBS Nexus is expected to have an indicative market capitalisation of RM122.50 million.
SBS Nexus has recorded strong financial growth, with revenue increased from\ RM11.60 million for financial year ended 31 December 2022 (“FYE 2022”) to RM29.92 million in financial year ended 31 December 2024 (“FYE 2024”) and its profit after tax grew from RM1.58 million in FYE 2022 to RM7.60 million in FYE 2024, grew at a compounded annual growth rate of 219% per annum. The revenue increased from RM12.74 million for the 6-month financial period ended 30 June 2024 (“FPE 2024”) to RM21.76 million for the 6-month financial period ended 30 June 2025 (“FPE 2025”)
and its profit after tax grew from RM3.39 million in FPE 2024 to RM4.71 million in FPE 2025, achieved a growth rate of 39% year-on-year.
