SBS Nexus Berhad Signed An Underwriting Agreement With M&A Securities Sdn Bhd

  • New issue of 122.50 million new shares representing 25.0% of the enlarged issued share capital

  • M & A Securities Sdn Bhd (“M&A Securities”) to underwrite 24.50 million new shares to be made available for application by the Malaysian public and 17.15 million new shares to be made available for application by the eligible directors, employees and persons who have contributed to the success of SBS Nexus Berhad (“SBS Nexus” or the “Company”) and its subsidiaries (collectively referred as “SBS Nexus Group”) (“Eligible Persons”)

Kuala Lumpur, Malaysia, 25 November 2025 – SBS Nexus has entered into an underwriting agreement with M&A Securities for the underwriting of 41.65 million new shares made available to the Malaysian public and Eligible Persons under pink form allocations. M&A Securities serves as the Principal Adviser, Sponsor, Underwriter and Placement Agent for the listing of SBS Nexus’s entire enlarged issued share capital of 490.0 million ordinary shares on the ACE Market of Bursa Malaysia Securities Berhad (“Bursa Securities”).

SBS Nexus is principally an investment holding company. Through its subsidiaries, SBS Nexus Group is a branding and marketing solutions specialist, principally involved in the provision of offline branding solutions and digital branding solutions. SBS Nexus’s IPO entails the public offering of 171.50 million ordinary shares comprising a public issue of 122.50 million new shares (“Issue Shares”) and an offer for sale of 49.00 million existing shares (“Offer Shares”) which collectively represent 35.0% of the SBS Nexus Group’s enlarged issued share capital of 490.00 million ordinary shares.

Of the 122.50 million Issue Shares, 24.50 million Issue Shares will be made available for application by the Malaysian public; 17.15 million Issue Shares will be made available for application by Eligible Persons; 61.25 million Issue Shares made available by way of private placement to Bumiputera investors approved by the Ministry of Investment, Trade and Industry (“MITI”); and 19.60 million Issue Shares will be allocated for private placement to selected investors. There is also an offer for sale of 49.00 million Offer Shares will be allocated for private placement to selected investors.

The proceeds from the IPO have been earmarked for the establishment of the new headquarters through the relocation to a larger office in anticipation of our business expansion; for penetrating into the Malay speaking SME community; for undertaking additional branding and marketing activities; and for expanding the mobile application, web based application and website development business. The balance of the proceeds will be used to defray estimated listing expenses.

SBS Nexus has recorded strong financial growth, with revenue increased from RM11.60 million for financial year ended 31 December 2022 (“FYE 2022”) to RM29.92 million in financial year ended 31 December 2024 (“FYE 2024”) and its profit after tax grew from RM1.58 million in FYE 2022 to RM7.60 million in FYE 2024, grew at a compounded annual growth rate of 219% per annum.

Mr Wong Chun Mun, Managing Director cum Chief Executive Officer of SBS Nexus signed the underwriting agreement on behalf of SBS Nexus Berhad, while M&A Securities Sdn Bhd was represented by M&A Equity Holdings Berhad Managing Director, Datuk Bill Tan.
