KUALA LUMPUR, March 11 – Integrated branding and marketing solutions provider SBS Nexus Berhad (Stock Name: SBS and Stock Code: 0386) reported strong financial results for the financial year ended 31 December 2025, with revenue climbing to RM48.7 million and profit after tax reaching RM9.58 million.

The Group has demonstrated robust expansion over the past few years. Between FY2022 and FY2025, SBS Nexus achieved a revenue compound annual growth rate (CAGR) of 61%, while profit after tax recorded a CAGR of 76%, reflecting rising demand for its integrated marketing and branding solutions.

Solid Financial Performance

For FY2025, the Group reported:

– Revenue: RM48.7 million
– Gross profit: RM16.9 million
– Profit before tax: RM13.05 million
– Profit after tax: RM9.58 million

Gross and net margins moderated slightly to 34.8% and 19.7% respectively, mainly due to temporary outsourcing of certain production work during peak campaign periods when internal capacity was stretched.

Managing Director and Chief Executive Officer CM Wong explained that the margin pressure was largely temporary. With additional multimedia and production staff being recruited, margins are expected to gradually normalise by the third quarter of 2026.

Talent Expansion and Capacity Growth

To support business expansion, the Group is actively strengthening its workforce. SBS Nexus noted that recruitment standards remain stringent, with only one to two out of every ten applicants typically meeting the company’s hiring criteria.

New team members are currently being onboarded, including Bumiputera hires scheduled to join in March and April 2026. This move supports the Group’s expansion into the Malay-speaking SME segment through its new platform, MyUsahawanMedia.

The company is also planning a new headquarters equipped with a full-scale production studio, training facilities and an event networking hall to support future growth.

Broad and Loyal Client Base

SBS Nexus serves more than 1,000 clients, with approximately 60% to 70% being repeat customers. Its primary business-to-business clientele spans several industries, particularly property, education and retail.

The Group’s service offerings include:

– Event management and brand campaigns
– Social media management
– In-house key opinion leader (KOL) content
– Printing and promotional materials
– Digital content and video production

Among its notable customers is Malaysian lifestyle brand Christy Ng.

Strong Financial Position

As at 31 December 2025, SBS Nexus maintained a healthy balance sheet with:

– Current ratio of 2.6 times
– Net cash position of RM543,000
– Debt-to-equity ratio reduced to 35%

The company also disclosed that 9.03% of its IPO proceeds have been utilised for expansion initiatives in line with its prospectus.

Growth Opportunities Ahead​

Looking ahead, SBS Nexus expects increased advertising and promotional spending in conjunction with Visit Malaysia Year 2026 to drive new business opportunities. The Group is targeting sectors such as hospitality, tourism, retail, leisure and entertainment.

In addition, SBS Nexus is exploring collaborations with federal ministries, state agencies and quasi-government bodies to broaden its market reach.

During the results briefing held at Concorde Hotel Kuala Lumpur, Chief Financial Officer Kevin Tay and Executive Director cum Chief Operating Officer Warren Cheng joined CEO Wong Chun Mun in reaffirming the Group’s confidence in sustaining its growth momentum into FY2026.

Kuala Lumpur, Malaysia, 5 March 2026 – Branding and marketing solutions provider SBS Nexus Berhad (Stock Name: SBS and Stock Code: 0386), expects its revenue and earnings to achieve double-digit growth this year, driven by stronger demand for event management and digital services amid the opportunities created by Malaysia’s 2026 Tourism Year.

Chief Executive Officer Mr. CM Wong said during a results briefing that the company will continue to focus on the domestic market while aiming to organise at least 50 event projects throughout the year.

He noted that many of the company’s long-standing clients had already begun making enquiries and discussing potential campaigns since the second half of last year, with some actively preparing to capitalise on tourism-related opportunities.

“Traditionally, clients would start making enquiries in the final quarter of the year and only finalise their event plans in the first or second quarter of the following year. However, to stay ahead of the market, several clients accelerated their preparations and completed most of the quotation process by the end of last year. Since January, many of these projects have already moved into the execution stage,” he said.

Beyond physical events, CM Wong added that the group’s digital business segment is also expected to record steady growth. The synergy between its event management and digital solutions divisions is anticipated to play a key role in supporting the group’s targeted double-digit expansion.

I. SBS Nexus to promote the Lung Shield Programme as part of its CSR and ESG advocacy initiatives.

SBS Nexus is principally an investment holding company. Through its subsidiaries (collectively, the “Group”), SBS Nexus Group is a branding and marketing solutions specialist, principally involved in the provision of offline branding solutions and digital branding solutions.

From the initial public offering (“IPO”) proceeds of RM30.63 million raised from the IPO exercise, the Company plans to utilise RM7.10 million (23.2%) for the set-up of a new headquarters, RM7.25 million (23.7%) for business expansion, RM0.74 million (2.4%) will be used for branding, marketing and promotional activities, RM6.00 million (19.6%) for repayment of borrowings, RM5.04 million (16.4%) for working capital and RM4.50 million (14.7%) to pay off listing expenses.

SBS Nexus has recorded strong financial growth, with revenue increased from RM11.60 million for financial year ended 31 December 2022 (“FYE 2022”) to RM29.92 million in financial year ended 31 December 2024 (“FYE 2024”) and its profit after tax grew from RM1.58 million in FYE 2022 to RM7.60 million in FYE 2024, grew at a compounded annual growth rate of 219% per annum. SBS Nexus has recorded revenue of RM33.63 million and profit after tax of RM7.12 million for the 9-month financial period ended 30 September 2025.

“Similarly in 2024, the size of the digital branding solutions market, which encompasses digital advertising, digital OOH media, and mobile applications and website development, was recorded at RM5.61 billion. For the financial year ended 2024, the revenue for SBS Nexus Group derived from digital branding solutions was recorded at RM17.16 million, and thereby SBS Nexus Group only captured a market share of 0.31% in the digital branding solutions market in Malaysia. This represents tremendous rooms and opportunities for SBS Nexus Group to expand its market share further in both offline branding solutions market and digital branding solutions market in Malaysia.”

Kuala Lumpur, 19 February — SBS Nexus Berhad, the operator of the well-known business media brand ShangHai and an integrated brand marketing solutions provider, delivered a strong financial performance ahead of its listing on the ACE Market, with revenue for the first nine months of its financial year already surpassing the full-year results of the previous year.

For the nine-month period ended 30 September 2025, SBS Nexus recorded revenue of RM33.63 million, exceeding its full-year revenue of RM29.92 million in FY2024. Net profit for the period stood at RM7.12 million, approaching the RM7.60 million achieved for the entire previous financial year.

Chief Financial Officer Kevin Teh said the company is confident of delivering a stronger full-year performance, supported by sustained demand across its core business segments.

“While net profit has yet to exceed last year’s full-year figure, the pace of revenue growth and order flow gives us confidence in a better overall outcome for the current financial year,” he said.

He noted that rapid business expansion earlier in the year temporarily stretched internal execution capacity, leading to partial outsourcing of projects and a slight moderation in margins.

Expansion into Malay-Language Market to Drive Next Phase of Growth

Looking ahead, Executive Director and Chief Operating Officer Warren Cheng said SBS Nexus is set to broaden its market reach with the launch of MyUsahawanMedia, a Malay-language integrated branding and marketing platform, targeted for rollout in the third quarter of the year.

Currently, the bulk of the company’s revenue is derived from the Chinese-language market. Management believes that achieving even a modest penetration of the significantly larger Malay-language SME segment in the first year would meaningfully contribute to future earnings growth.

Meanwhile, Managing Director and Chief Executive Officer CM Wong highlighted improving market sentiment, particularly as businesses prepare for Visit Malaysia Year 2026, which is expected to drive higher marketing spending from sectors such as tourism, hospitality, retail and food & beverage.

“We have seen clients increase their marketing budgets by approximately 20% to 30%, with many campaigns planned well in advance to align with tourism-related initiatives and major events,” he said.

Balanced Online and Offline Marketing Strategy

During the nine-month period, digital branding solutions accounted for approximately 63% of total revenue, while offline branding solutions contributed about 34%.

Teh Wei Lun explained that although digital marketing continues to gain traction due to higher engagement and wider reach, offline branding remains a critical component of integrated marketing strategies.

“We consistently recommend a hybrid approach that combines online and offline channels to maximise brand exposure and campaign effectiveness,” he said, adding that budget allocation ultimately depends on target audience and campaign location.

With strong financial momentum, diversified service offerings and strategic expansion into new language markets, SBS Nexus believes it is well-positioned to sustain growth as it enters its next phase as a listed company.

SBS Nexus Berhad, a one-stop integrated marketing solutions provider slated for listing on the ACE Market of Bursa Malaysia, has received an enthusiastic response for its Initial Public Offering (IPO), reflecting strong investor confidence in the company’s business model and growth prospects.

The public offering attracted more than 5,500 investors, with total subscription reaching approximately 570 million shares, representing a value of about RM142.6 million. Overall, the IPO was oversubscribed by 22.28 times.

Of the 24.5 million new shares made available to the Malaysian public, the Bumiputera tranche recorded an oversubscription rate of 23.38 times, while the non-Bumiputera portion was oversubscribed by 21.18 times, underscoring broad-based demand across investor segments.

Beyond the public tranche, all other allocation channels were fully subscribed. These included shares reserved for directors, employees and eligible persons, as well as existing shares allocated to Bumiputera investors approved by the Ministry of Investment, Trade and Industry (MITI). In addition, the private placement to selected investors—comprising both new and offer-for-sale shares—was successfully completed.

According to the company, the private placement involved 720 investors, with the top 10 investors collectively holding approximately 77.24 million shares. This represents nearly 60% of the private placement and 15.76% of the company’s enlarged share capital upon listing, indicating strong participation from institutional and high-net-worth investors.

Following its listing, SBS Nexus will have an enlarged issued share capital of 490 million shares. Proceeds from the IPO will be utilised to enhance its digital capabilities, expand operational and creative teams, support working capital requirements, and cover listing-related expenses.

Kuala Lumpur, Malaysia, 23 December 2025 – A branding and marketing solutions specialist company, SBS Nexus today unveiled the prospectus for its IPO at EQ Kuala Lumpur. This is in conjunction with the Company’s listing of its entire enlarged issued share capital of 490.0 million ordinary shares on the ACE Market of Bursa Securities, scheduled for 20 January 2026. M & A Securities Sdn Bhd (“M&A Securities”) is SBS Nexus’s Adviser, Sponsor, Underwriter and Placement Agent for the IPO.

SBS Nexus is principally an investment holding company. Through its subsidiaries, SBS Nexus Group is a branding and marketing solutions specialist, principally involved in the provision of offline branding solutions and digital branding solutions.

SBS Nexus’s IPO entails the public offering of 171.50 million ordinary shares comprising a public issue of 122.50 million new shares (“Issue Shares”) and an offer for sale of 49.00 million existing shares (“Offer Shares”) which collectively represent 35.0% of the SBS Nexus Group’s enlarged issued share capital of 490.00 million ordinary shares.

Of the 122.50 million Issue Shares, 24.50 million Issue Shares will be made available for application by the Malaysian public; 17.15 million Issue Shares will be made available for application by the eligible directors, employees and persons who have contributed to the success of SBS Nexus Group; 61.25 million Issue Shares made available by way of private placement to Bumiputera investors approved by the Ministry of Investment, Trade and Industry; and 19.60 million Issue Shares will be allocated for private placement to selected investors. There is also an offer for sale of
49.00 million Offer Shares will be allocated for private placement to selected investors.

Based on the IPO price of RM0.25 per share, the IPO exercise is expected to raise RM30.63 million for SBS Nexus. The public issue of 24.50 million new shares available for application by the Malaysian public, opens today, 23 December 2025 at 10.00 a.m., and application will close on Wednesday, 7 January 2026 at 5.00 p.m.

The IPO proceeds of RM30.63 million will be fully allocated as follows:
• RM7.10 million (23.2%) will be used for the set-up of our new headquarters;
• RM7.25 million (23.7%) will be used for business expansion;
• RM0.74 million (2.4%) will be used for branding, marketing and promotional activities;
• RM6.00 million (19.6%) will be used for repayment of borrowings;
• RM5.04 million (16.4%) will be used for working capital; and
• RM4.50 million (14.7%) will be used for estimated listing expenses.

Based on the enlarged share capital of 490.00 million ordinary shares and IPO price of RM0.25 per share, SBS Nexus is expected to have an indicative market capitalisation of RM122.50 million.

SBS Nexus has recorded strong financial growth, with revenue increased from\ RM11.60 million for financial year ended 31 December 2022 (“FYE 2022”) to RM29.92 million in financial year ended 31 December 2024 (“FYE 2024”) and its profit after tax grew from RM1.58 million in FYE 2022 to RM7.60 million in FYE 2024, grew at a compounded annual growth rate of 219% per annum. The revenue increased from RM12.74 million for the 6-month financial period ended 30 June 2024 (“FPE 2024”) to RM21.76 million for the 6-month financial period ended 30 June 2025 (“FPE 2025”)
and its profit after tax grew from RM3.39 million in FPE 2024 to RM4.71 million in FPE 2025, achieved a growth rate of 39% year-on-year.
